Offering could raise $380 million for parent company

TORONTO, Oct. 3, 2014 - The parent company of Sears Canada has announced it will divest itself of as many as 40 million common shares of its beleaguered subsidiary through a rights offering that could raise as much as $380 million.
If successful, the offering would reduce Sears Holdings Corp.’s stake in the multi-channel Canadian retailer from 51% to about 12%. Once the offering is completed, Sears Holdings will hold about 12 million shares in Sears Canada valued at about $135 million.
Some analysts have noted that by selling the shares in Sears Canada to its own shareholders, Sears Holding will raise much-needed cash to aid it as it readies to compete in the upcoming and vital holiday shopping season. They also observed that Sears Holdings appears to have been unsuccessful in its efforts to sell Sears Canada, an effort it launched in May.
In a statement, Sears Holdings said the rights will be tradable and can be used to buy Sears Canada shares at $10.60 each — a slight discount from Wednesday’s closing price of $11.12 on the Toronto Stock Exchange. Each shareholder Sears Canada will receive the right to purchase one additional share for each share already held.
Sears Canada is controlled by U.S. hedge fund magnate Edward Lampert through by Sears Holdings and ESL Investments, a private company he controls.
Sears Holdings has said it expects at least $168 million in proceeds in mid-to-late October, with the rest by early November. Lampert and ESL have told Sears they intend to exercise their option to acquire a proportional amount of the subscription rights.
As part of the process, Sears Canada will also apply to be listed on the NASDAQ Global Select Market, where the rights will be traded. Sears Holdings is also listed on the NASDAQ.
Sears Canada has released its own statement, saying it intends to cooperate fully with the plan and it intends to file a prospectus with all Canadian securities regulatory authorities. It will also file a registration statement with the U.S. Securities & Exchange Commission.
In a related announcement, Sears Canada said that in connection with the rights offering, Sears Holding has agreed to extend its license to use the “Sears” name and certain other brand names such as Kenmore appliances, Sears-O-Pedic mattresses and Craftsman tools.
Under the new agreement, Sears Canada will continue to hold rights to the brands on a royalty-free basis as long as Sears Holdings continues to own 10% of its voting shares — down from the prior 25%. The rights will continue to be held royalty-free should Sears Holdings completely divest itself of Sears Canada for a period of five years, up from the current three years. And, should Sears Canada believe a further transition period is needed, it will be granted for a further four years, at a below market rate.
It’s no secret Sears Canada is struggling to regain its leadership position on this country’s retail scene. It has declared a loss in nine of the last 14 fiscal quarters, despite selling a number of key assets during that time. For the best part of the past two decades, Sears Canada has been this country’s dominant purveyor of furniture, mattresses and major appliances and its hold on these categories has been shaky for the past while.
Last week, Douglas Campbell announced he will resign as president and CEO of Sears Canada before the end of 2014, after only a year in the post.

Oct. 1, 2014 - Rug and furniture manufacturer Safavieh has launched a new designer furniture line. Named Safavieh Couture, the new wholesale collection will be shown for the first time during the upcoming October High Point Market.
Seventy-five pieces representative of the 500-SKU introductory line will be displayed, including Safavieh Couture upholstery, case goods and accent furniture, with styles ranging from contemporary to transitional to traditional. Safavieh-branded rugs and lighting will also be on display in the showroom (Suite 117 in Historic Market Square), which has been redesigned for market.
“The new Couture furniture line is the next step in our effort to diversify our wholesale business with total home decorating solutions,” said Arash Yaraghi, a Safavieh principal. “At the request of interior designers and retail customers across the country, we are now bringing to market nationally the upscale private label furniture that has previously been sold exclusively through our retail stores in the metropolitan New York region.”
Safavieh Couture sofas retail from $1,995 and upholstered queen beds at $1,895. Most of the collection is produced in China and Vietnam. “There is no one ‘Safavieh Couture’ style,” according to a brand statement from the company. “Instead, we focus on exquisite details such as metallic, hand-rubbed and faux finishes. Our fabrics are timeless and classic: natural leathers and animal hides, organic linen, and luxurious silks and velvets, but they are also fashion-forward in color and design. We use beautifully grained marble, fine and repurposed woods, forged iron, all worked by master craftsmen.”
“Owning retail galleries in Manhattan, Long Island, New Jersey and Connecticut afforded a unique opportunity to test market all types of furniture and accessories, and we learned from experience what sells to the urban sophisticate versus the casual suburban consumer,” said Michael Yaraghi, president of Safavieh Home Furnishings, noting that the retail group began producing private label furniture in 1986, initially focusing on traditional French and English designs made in Europe. “As our customers’ styling preference skewed more toward transitional and contemporary styles, we expanded into those categories with production in Asia as well.” Michael Yaraghi has directed design and production of the collection since its inception.

Hadley Court Center can connect people around the world

HIGH POINT — The Bernice Bienenstock Furniture Library has a new resource for global design collaboration and education, a high-tech meeting room called the Hadley Court Center for Design Collaboration.
The space on the ground floor of its library at 1009 N. Main St. here is open for use by designers, students, manufacturers, academics and civic and cultural organizations. The equipment allows participants to connect with anyone, anywhere in the world, to share a collaborative experience via LiveStream video and audio.
The center will be dedicated at a talk, “Collaboration in Design,” to be delivered at 4 p.m. Oct. 17 by international designer Mary Douglas Drysdale.
“It is our intention to make The Furniture Library accessible to anyone who has an interest in design, collaboration and connection regardless of where they live or work,” said Russell Bienenstock, president of the library’s board of directors.
Bienenstock said the center’s intended uses include moderated events, design meetings, seminars, product launches, Livestream webinars, the library’s new speaker series and brainstorming sessions. It can also be used as a satellite meeting room for furniture companies or community groups that need a place to congregate in High Point during or between markets and that need to be in instant visual contact with their national or global customers or employees.
He said Karla Teague Webb, the library’s director, has been trained in how to use the center’s audio and video equipment.
The center was made possible by the donation of Leslie Hendrix Wood, an interior decorator in Midland, Texas, and founder of lifestyle and interior design blog Hadley Court, whose content focuses on designing, celebrating, entertaining, organizing, traveling and giving.
“The furniture and design industries are fortunate to have an invaluable resource like the Bienenstock Furniture Library. The library is an integral part of preserving the history of furniture design for future generations,” Hendrix Wood said.
“Hadley Court is honored to be able to be a part of making the library accessible to anyone and offering technology where collaborative efforts can be fostered. The best designs are practical and come from the heart. What’s most important are relationships and new technological tools that have the potential to connect like-minded souls across the world.”

MULDROW, Okla., August 26, 2014 - FFO Home says it expects to open a store in Moberly, Mo., on Thursday.
“Moberly is an exciting place for us to establish our newest location,” said Larry Zigerelli, president and CEO of the Top 100 retailer. “We are very much looking forward to being a part of the community for a long time.”
The store, at 1720 Crete St., in the city’s retail district, will be one of 34 that FFO Home operates in Oklahoma, Mississippi, Kansas, Arkansas and Missouri. It will offer customers 30,000 square feet of living room, bedroom, and dining room furniture, as well as mattresses and lighting.

FORT LAUDERDALE, Fla., August 14, 2014/ABCVM - Atlanta-based Havertys Furniture confirmed that it has signed leases for the recently closed Carl’s Furniture stores here and in Coconut Creek, Fla., thereby boosting its presence in Southeast Florida.
The Top 100 company acquired the lease on Carl’s former 60,000-square-foot showroom headquarters located in Coconut Creek with plans to reopen as Havertys Furniture in December after completing all renovation works of the said showroom.
In Fort Lauderdale, Havertys also signed a lease for the former 50,000-square-foot Carl’s Furniture store projected to be open next spring, said Clarence Smith, Havertys chairman, president and CEO.
Both will be a significant additions to the retailer’s store count. Havertys already operates a Fort Lauderdale store in the Sawgrass area, Smith said, noting that the new store would brings it closer to the coast, in a central area. Acquiring the Fort Lauderdale store will become three former Carl’s stores that Haverty’s will operate in the Southeast Florida because “we also took over the Boca (Raton, Fl.) Carl’s a couple of years ago,” Smith said.
He though declined to disclose sales projections for the new stores.
Carl’s, once a Top 100 company, filed for Chapter 11 bankruptcy protection in 2011 and emerged a year later, but eventually only to liquidate all its remaining three stores.
Havertys is listed at No. 15 on Furniture/Today’s Top 100 with sales of $746.1 million in furniture, bedding and accessories last year in its 119 stores. The company has made plans to open six more stores in existing markets this year with the coconut Creek store as part of its growth, including the projected three relocations, Smith said.
Havertys already relocated its Fayetteville, N.C., store and is also in the process of moving to a new Winston-Salem, N.C., location in a former Sports Authority space near its existing showroom. The third plan relocation will be in Kissimmee, Fla., to commence in a month’s time.
In the fall, the retailer will open a new store in the Buckhead area of Atlanta - a smaller-format 23,000-square-foot store, in a space it occupied years ago, Smith said.

LAS VEGAS — A cool dual-sided Tempur-Cloud pillow is part of a new pillow collection Tempur-Pedic is unveiling at the Las Vegas Market, officials said.
They said the Tempur-Cloud Breeze Dual Cooling Pillow offers instant-to-the-touch and long-lasting cooling, with the premium support of the company’s proprietary Tempur material. The new cooling pillow complements Tempur Sealy International’s growing portfolio of mattresses that incorporate cooling technologies, the company said.
The new Tempur-Pedic pillows will be on display in the Tempur-Pedic showroom, World Market Center C-1512. The market officially opens Sunday.
Tempur-Pedic is part of Tempur Sealy International, which also includes the Sealy brand.
Sealy’s Las Vegas introduction is a new Sealy-brand innerspring collection of eight mattresses retailing from $299 to $699. Four of the models feature the Sealy Stability coil, an individually encased coil offering. Sealy shows in WMC B-800.
The new Tempur-Pedic pillow collection also includes the Tempur-Cloud Soft & Lofty Pillow, which uses a new Tempur material mix and a soft cotton quilt finish, the company said.
Also new is a step-up model, the Tempur-Cloud Soft & Conforming Pillow, which uses a molded insert for premium support for the head, neck and shoulders. All of the new Tempur-Pedic pillows are designed to work with all sleeping positions and offer the optimal resting head height.
The new line of pillows offers “an exciting way for retailers to add to their tickets and to satisfy customers who love Tempur-Pedic,” said Brent Pfister, vice president of product marketing for Tempur-Pedic.
Tempur-Pedic is also making the growing adjustable foundation and base category a focus this year. While U.S. market figures indicate that sales of flat foundations fell 5% last year, adjustable base sales increased by 22%, officials said.
“People spend a lot of time sitting up in bed, and we want to help them realize that they needn’t do that in discomfort,” Pfister said. “Adjustable foundations and bases are the easiest growth ticket for retailers.”
Tempur-Pedic’s offerings start at $799 with the Tempur-Up Foundation, designed for the consumer looking for his or her first adjustable option. Designed like a flat foundation, the unit offers head-up functionality up to 65 degrees and is controlled by a wired remote. The Tempur-Ergo Plus adjustable base, starting at $1,399, offers a virtually infinite number of ergonomic rest positions for head and feet on most Tempur-Pedic mattresses, the company said.
Tempur-Pedic is also showcasing its Tempur-Ergo Premier in Las Vegas. Retailing at $1,999, it offers consumers a virtually unlimited number of ergonomic rest positions for the head and feet, plus has a massage feature. The Tempur-Ergo Premier can be controlled via a wireless remote or via the user’s Apple iOS or Android device, officials said.
Sealy’s new value-priced encased coil collection has been reworked from the inside out, based on what values customers want and need, said Dan Calderwood, vice president of product marketing for Sealy.
“The line includes the latest in coil and edge technologies designed to lower price points but engineered to ensure comfort that lasts year after year,” he said.
Featured is the new Sealy Stability coil, an individually encased coil offering the consumer reduced motion transfer for added comfort. Additional improvements in the line include taller profiles, improved aesthetics, and the use of gel foam, Calderwood said.

July 10, 2014 - US demand for cabinets is project to grow 6.6% per year to 2018. According to a market research report by Freedonia, demand will reach US$16.0 billion in 2018, up from US$11.6 billion in 2013 (Freedonia, Industry Study Cabinets, May 2014).
The growth in demand is based on expectations of growing housing starts, larger kitchens and multiple bathrooms and more remodeling as sales of existing homes increase. Demand for cabinets for residential remodeling accounts for more than two thirds of total US cabinet consumption.
The two next largest markets are non-residential remodelers and new home installations. Freedonia expects the non-residential building sector to grow in the next four years. Both new construction and remodeling of office buildings, hotels and healthcare facilities will increase demand for cabinets.
By cabinet type, kitchen cabinets accounted for 81% of total US demand in 2013. Kitchen cabinet demand is projected to grow fastest, reaching $13.1 billion in 2018. The domestic industry dominates the cabinet market. Imports accounted for approximately 6% of total demand in 2013.
Even fewer cabinets are exported from the US (about 1% of total production). Domestic cabinet production is projected to increase.
